Acceptance of Terms

By accessing and using the Lena learning management platform, services, and website located at https://lena.africa/ (collectively the "Service"), you accept and agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.

Modification of Terms

Lena Technologies Ltd. (Lena) reserves the right, at our discretion, to change, modify, add, or remove portions of these Terms at any time. Please check these Terms periodically for changes. Lena will also communicate any changes to our Terms promptly. Your continued use of the Service following the posting of changes will mean you accept those changes.

Registration and Account Integrity

• Users must register to access the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

• You are responsible for safeguarding your password and any activities under your account. Lena Technologies Ltd. cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

Use of Service

• The Service is provided for your personal, non-commercial use and for educational purposes only.

• You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service.

• Unauthorized or illegal use of the Service is strictly prohibited.

• Without the express prior written consent of Lena (which may be arbitrarily withheld), Schools may not access the Service:

  1. if Schools is a direct competitor of Lena;

  2. for purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes; or

  3. for purposes of performing intrusive testing on the Service, including but not limited to vulnerability scanning, penetration testing, load testing, or any other intrusive testing.

Use of Service

• The Service is provided for your personal, non-commercial use and for educational purposes only.

Intellectual Property Rights

• All intellectual property rights in the Service and its content are owned by or licensed to Lena Technologies Ltd. This Terms of Use only gives Schools limited rights to use the Service.

• Schools may not;

  1. reverse engineer, decompile or disassemble the Service

  2. publish the Service for others to copy

  3. use the Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights

  4. use the Service to store or transmit malicious code or

  5. use the Service in any way that is against the law.

  6. make copies, modify, distribute, adapt, sell, or lease any part of our Service or included software.

User Content

• You retain copyright and any other rights you already hold in content you submit, post, or display on or through the Service.

• By submitting, posting, or displaying content on or through the Service, you grant Lena Technologies Ltd. a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and distribute such content.

School’s Responsibilities

Schools shall:

1. be responsible for all Students’ compliance with this Terms of Use

2. be solely responsible for the accuracy, quality, integrity and legality of it’s Content and of the means by which Schools acquired the Content

3. use commercially reasonable efforts to prevent unauthorized access to or use of the Service, and notify Lena promptly of any such unauthorized access or use, and

4. use the Service only in accordance with applicable laws and government regulations, and any additional instruction manuals which Lena may make available or provide.

Privacy

Your privacy is important to us. Our Privacy Policy is incorporated into these Terms by reference and explains how we collect, use, and share your personal information. Please see our detailed Privacy Policy.

Child and Minor Protection

The Service is intended for users who are at least 18 years old or minors who have obtained parental consent to use the Service.

Disclaimers

The Service is provided "as-is" and Lena Technologies Ltd. makes no warranties of any kind, expressed or implied, as to the Service's operation or the information, content, or materials included.

Limitation of Liability

Lena Technologies Ltd. shall not be liable for any damages resulting from the use or inability to use the Service or for any unauthorised access to or alteration of your transmissions or data. Lena Technologies Ltd. shall not be liable for any damages resulting from the breach of these terms of use.

Governing Law

These Terms and your use of the Service are governed by the laws of Nigeria without regard to its conflict of laws principles.

Arbitration

Any dispute or claim arising out of or in connection with these Terms shall be resolved by parties resorting to arbitration by a single Arbitrator. The Arbitrator shall be appointed by both parties and proceedings conducted in accordance with the provisions of the Arbitration and Conciliation Act CapA18 LFN 2004. The venue shall be in Lagos, Nigeria.

Termination

Lena Technologies Ltd. may terminate or suspend your access to the Service at any time, without notice, for conduct that we believe violates these Terms or for any other reason. Where a need to suspend arises,Lena shall give 2 weeks notice of suspension to the User/School stating reasons for the suspension.

Entire Agreement

These Service Terms of Use and any exhibits or amendments thereto, constitutes the entire Agreement between the parties and supersedes all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. To the extent of any conflict or inconsistency between the provisions in the body of these Service Terms and Conditions and any applicable document, the terms of such documents shall prevail.
